Terms of Service

1. The agreement

These Terms of Service ("Terms") govern your access to and use of Fieldnote (the "Service"), operated by Fieldnote ("we," "us," or "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Fieldnote is a software-as-a-service tool that helps licensed home inspectors generate written inspection reports from on-site voice recordings, photos, and notes. The Service produces a draft report for your professional review.

You are responsible for reviewing and verifying every report before delivering it to a client. Fieldnote does not replace your professional judgment, training, or licensing as an inspector. We do not warrant the accuracy or completeness of any report.

3. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract under applicable law. When you create an account, you agree to provide accurate information and to keep your credentials secure. You are responsible for all activity on your account.

4. Subscription, billing, and payments

Fieldnote offers a Free tier (3 lifetime reports) and a Pro tier ($199 USD per month). Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. Prices are exclusive of applicable taxes; the merchant of record will calculate and collect taxes at checkout.

Payments are processed by Paddle.com Market Limited ("Paddle"), our merchant of record, who handles transaction processing, fraud detection, sales-tax/VAT/GST compliance, and chargebacks. Your payment is to Paddle; Paddle then remits to us.

You can cancel at any time from your account or by contacting us. Cancellation takes effect at the end of your current billing period; you retain access until that date. Refunds are governed by our Refund Policy.

5. Your content

You retain ownership of all data you upload to or create within Fieldnote, including audio recordings, photos, transcripts, findings, and reports ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate the Service for you.

We do not use Your Content to train AI models. We do not share Your Content with third parties beyond the processors listed in our Privacy Policy.

6. Acceptable use

You agree not to:

• Use the Service to generate reports for inspections you did not personally perform
• Upload content you do not have rights to
• Use the Service for any unlawful purpose
• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or otherwise commercially exploit the Service
• Attempt unauthorized access to any account, system, or data not your own
• Send automated requests in excess of normal individual use

7. Intellectual property

The Service, including its software, design, text, logos, and underlying technology, is owned by Fieldnote and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your access if you violate these Terms or if doing so is necessary to protect the Service or other users. On termination, your right to use the Service ends. We will retain your data for 30 days after deletion in case you change your mind, after which it is permanently removed except as required by law.

9. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of generated reports.

10. Limitation of liability

To the maximum extent permitted by law, Fieldnote will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Service. Our total liability under these Terms is limited to the amount you paid us in the twelve months immediately preceding the claim.

11. Indemnification

You agree to indemnify and hold Fieldnote harmless from any claims arising out of (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll email registered users at least 30 days before it takes effect. Continued use of the Service after the effective date means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the competent courts of Bengaluru, India, except that either party may seek injunctive relief in any court of competent jurisdiction.
